These Terms of Service ("Terms") govern your access to and use of Ekklesia.ng, including its website, church management platform, mobile applications, APIs, communication tools, dashboards and related services ("Ekklesia", "Platform", "Service", "we", "us" or "our").

By creating an account, subscribing to a plan, starting a free trial, or using Ekklesia, you agree to these Terms.

If you do not agree, do not use the Service.

1. About Ekklesia

Ekklesia is a church growth and management technology platform designed to help churches manage:

  • members;
  • visitors;
  • converts;
  • attendance;
  • follow-ups;
  • cell groups;
  • departments;
  • workers and leaders;
  • events and registrations;
  • communications;
  • pastoral-care records;
  • prayer requests;
  • reports;
  • church activities;
  • notifications;
  • subscriptions and administrative functions.

Ekklesia provides technology and administrative tools. It does not replace the judgment, supervision or pastoral responsibilities of a church or its authorised leaders.

2. Church Account

A church, ministry, organisation or other authorised customer ("Church") may create an account.

The person creating the account represents that they have authority to register the Church and accept these Terms on its behalf.

You are responsible for:

  • providing accurate information;
  • maintaining account security;
  • keeping login credentials confidential;
  • controlling staff access;
  • assigning appropriate roles;
  • removing former workers' access;
  • ensuring that information entered into the Platform is lawful and accurate.

You must immediately notify Ekklesia if you believe an account has been compromised.

3. Acceptable Use

You may use Ekklesia only for legitimate church, ministry, administrative, communication, membership, event or related organisational purposes.

You must not:

  • use Ekklesia for unlawful activity;
  • upload malicious software;
  • attempt to gain unauthorised access;
  • interfere with the Platform;
  • probe, scan or attack Ekklesia infrastructure;
  • circumvent security controls;
  • impersonate another person or organisation;
  • upload information you have no right to process;
  • use Ekklesia to harass, threaten or abuse people;
  • send unlawful or deceptive communications;
  • use messaging functionality to distribute spam;
  • violate WhatsApp, SMS, email or other third-party provider policies;
  • attempt to reverse engineer proprietary Ekklesia software;
  • resell the Platform without written authorisation;
  • use the Platform to violate applicable data-protection law;
  • use automated methods to overload or disrupt the Service;
  • use another customer's account without permission.

4. Church Responsibility for Personal Data

The Church is responsible for determining why and how its members', visitors' and other individuals' information is collected and used.

Depending on the processing activity and applicable law, the Church may act as a data controller while Ekklesia acts as a data processor.

The Church is responsible for:

  • obtaining appropriate permissions and notices;
  • providing required privacy information;
  • ensuring lawful collection and use;
  • responding to requests from data subjects;
  • maintaining appropriate access controls;
  • ensuring staff use data appropriately;
  • ensuring sensitive information is handled appropriately.

5. Communications

Ekklesia may provide integrations for:

  • email;
  • SMS;
  • WhatsApp;
  • push notifications;
  • other communication channels.

Delivery depends partly on third-party infrastructure. Ekklesia does not guarantee that every message will be delivered, read or received.

Third-party providers may impose:

  • message limits;
  • template requirements;
  • pricing;
  • quality restrictions;
  • account restrictions;
  • delivery restrictions;
  • verification requirements.

The Church is responsible for complying with applicable communication laws and provider policies.

6. Events and Payments

Where Ekklesia provides event registration or payment functionality, the Church remains responsible for the event itself, including:

  • event descriptions;
  • prices;
  • eligibility;
  • refunds;
  • cancellations;
  • venue arrangements;
  • participant safety;
  • event administration.

Ekklesia may provide technical payment functionality through third-party payment providers.

Ekklesia is not the seller of the Church's event unless expressly stated otherwise.

7. Free Trials

Where offered, a free trial provides temporary access to specified Ekklesia functionality.

Unless otherwise stated:

  • trial periods are limited;
  • features may be restricted;
  • trial accounts may have usage limits;
  • no payment is required during the free period unless expressly stated;
  • Ekklesia may change or discontinue a trial programme.

At the end of a trial, the account may be suspended unless a paid subscription is activated.

8. Subscription

Paid plans are billed according to the selected subscription.

Subscription prices, limits and included features are displayed at the time of purchase.

Ekklesia may change pricing for future subscription periods by providing reasonable notice.

9. Suspension

We may suspend or restrict an account where reasonably necessary to:

  • prevent security threats;
  • investigate suspected abuse;
  • prevent unlawful activity;
  • address non-payment;
  • comply with law;
  • protect Ekklesia or another customer;
  • protect third-party infrastructure.

Where reasonably possible, Ekklesia will provide notice and an opportunity to resolve the issue.

Immediate suspension may occur where continued access presents a serious security, legal or operational risk.

10. Termination

Either party may terminate the relationship subject to the applicable subscription terms.

Ekklesia may terminate an account for serious or repeated violations of these Terms.

Upon termination, access may be disabled.

Data retention and deletion will be handled according to the applicable Privacy Policy and DPA.

11. Availability

Ekklesia aims to provide a reliable service but does not guarantee uninterrupted availability.

The Service may occasionally be unavailable because of:

  • maintenance;
  • upgrades;
  • infrastructure failure;
  • telecommunications failure;
  • hosting problems;
  • third-party provider outages;
  • cyber incidents;
  • government actions;
  • force majeure events.

12. Data Backups

Ekklesia may maintain backups as part of its operational security practices.

Backups are intended for recovery and continuity and should not be treated as the Church's only copy of important records.

Customers should maintain appropriate independent records where necessary.

13. Intellectual Property

Ekklesia owns or licenses the software, platform design, branding, documentation and technology used to provide the Service.

You receive a limited, non-exclusive, non-transferable right to use the Service during your subscription.

You retain ownership of content and data you submit to Ekklesia, subject to the rights required to provide the Service.

14. Customer Content

You grant Ekklesia the limited rights necessary to host, process, transmit, back up and otherwise handle Customer Data solely to provide, secure and improve the Service as permitted by the applicable agreement and law.

Ekklesia does not acquire ownership of Church membership records merely because they are stored on the Platform.

15. Third-Party Services

Ekklesia may integrate with third parties.

Third-party services may include payment processors, messaging providers, email providers, hosting providers, analytics services and authentication services.

Those services may have separate terms and privacy policies.

Ekklesia is not responsible for failures caused solely by third-party services outside Ekklesia's reasonable control.

16. No Professional Advice

Ekklesia is software and does not provide:

  • legal advice;
  • accounting advice;
  • tax advice;
  • medical advice;
  • pastoral decisions;
  • safeguarding determinations;
  • emergency services.

Church leaders remain responsible for decisions made using information displayed by the Platform.

17. Disclaimer

18. Limitation of Liability

To the maximum extent permitted by law, Ekklesia shall not be liable for indirect, incidental, special, consequential or punitive losses, including loss of profits, loss of goodwill, loss of anticipated savings or business interruption.

Subject to applicable law, Ekklesia's aggregate liability arising from the Service shall not exceed the fees actually paid by the affected customer to Ekklesia during the twelve months immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes liability that cannot lawfully be excluded or limited.

19. Indemnity

To the extent permitted by law, the Church agrees to defend and indemnify Ekklesia against claims arising from:

  • unlawful Customer Data processing;
  • violation of third-party rights;
  • misuse of the Platform;
  • unlawful communications;
  • content supplied by the Church;
  • breach of these Terms.

20. Changes

We may update these Terms from time to time.

Material changes may be communicated through the Platform, email or website.

Continued use after the effective date of updated Terms constitutes acceptance to the extent permitted by law.

21. Governing Law

These Terms shall be governed by the laws of the Federal Republic of Nigeria, subject to any mandatory rights or protections applicable to the parties.
